Terms of Use

These Terms govern your use of the secure client portal at portal.altiusit.com (the "Portal"), operated by Altius IT, Inc. ("Altius IT," "we," "us"). The Portal supports the delivery of professional services described in the engagement letter, statement of work, or master services agreement signed between Altius IT and your organization (the "Engagement Agreement"). Where these Terms conflict with the Engagement Agreement, the Engagement Agreement controls.

1. Acceptance

By signing in, uploading, downloading, or otherwise interacting with the Portal, you accept these Terms and confirm you have authority to bind the organization on whose behalf you are using the Portal.

2. Account & Access

  • Access is invitation-only. Altius IT issues credentials to designated client representatives.
  • You are responsible for keeping your credentials confidential and for all activity that occurs under your account.
  • You will notify Altius IT immediately at info@altiusit.com of any suspected unauthorized access.
  • You may not share your account or allow another person to sign in as you. If additional people on your team need access, request they be invited individually.

3. Acceptable Use

You agree not to use the Portal to:

  • Upload content you do not have the right to share, or content that infringes third-party rights.
  • Upload malware, exploits intended to harm the Portal, or content unrelated to your engagement with Altius IT.
  • Attempt to access another client's data, scope, or files.
  • Probe, scan, or test the vulnerability of the Portal except as expressly authorized in writing by Altius IT.
  • Reverse-engineer, decompile, or interfere with the operation of the Portal.
  • Use the Portal for purposes outside the scope of your Engagement Agreement.

Altius IT may suspend or revoke access without notice if continued access poses a risk to the Portal, to other clients, or to Altius IT's professional or legal obligations.

4. Your Content

You retain all rights in the content you upload to the Portal. You grant Altius IT a non-exclusive license to access, use, copy, store, and transmit that content solely for the purpose of delivering the services described in the Engagement Agreement, operating and maintaining the Portal, and complying with legal obligations.

You are responsible for ensuring that any content you upload does not include personal data or regulated information beyond what is necessary for the engagement, and that you have obtained any consents required to share such content with us.

5. Confidentiality

Information exchanged through the Portal, including engagement findings, vulnerability reports, and supporting evidence, is confidential. Both parties agree to handle it consistent with the confidentiality terms of the Engagement Agreement and applicable professional standards.

6. Audit Log & Forensic Record

The Portal maintains a forensic audit log of uploads, downloads, deletions, and similar actions. This log includes IP address, user-agent, timestamp, and actor identity. Audit log entries are retained indefinitely and are intended to provide an enduring record both parties can rely on. By using the Portal, you acknowledge and consent to this logging.

7. Service Availability

We aim to keep the Portal available with reasonable uptime, but the Portal is provided on a best-effort basis. We may need to suspend access for maintenance, security response, or upgrades. We do not guarantee uninterrupted or error-free service.

8. Termination

Access ends when your engagement with Altius IT concludes, when your organization's authorized administrator removes you, or when Altius IT terminates your access for breach of these Terms or the Engagement Agreement. The audit log entries describing your activity persist after termination, as described in the Privacy Notice.

9. Disclaimers

The Portal is provided "as is" and "as available." Except as expressly stated in the Engagement Agreement, Altius IT disclaims all warranties relating to the Portal, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The professional deliverables produced by Altius IT are governed by the warranties in the Engagement Agreement, not by these Terms.

10. Limitation of Liability

To the fullest extent permitted by law, Altius IT's liability arising out of or in connection with your use of the Portal is limited to the amount stated in the Engagement Agreement. In no event will either party be liable for indirect, incidental, consequential, or punitive damages arising from use of the Portal, except where such limitation is prohibited by law.

11. Governing Law

These Terms are governed by the laws and venue specified in your Engagement Agreement. If no such designation exists, these Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law principles.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be communicated to active Portal users by email. Continued use of the Portal after changes take effect constitutes acceptance.
